End User Licence Agreement (EULA) – Clipboard Tool

This End User Licence Agreement (“EULA”) is a legal agreement between Techris Consulting Ltd (“we”, “our”, “us”) and the company you represent (“you”, “your”) regarding your use of the Clipboard browser add-in (the “Software”). By installing or using the Software, you agree to be bound by this EULA.

1. Licence Grant
1.1 Subject to your compliance with this EULA and any applicable licence fees, we grant your company a non-exclusive, non-transferable, limited licence to install and use the Software on each licensed instance of the IFS environment (specific URL) for internal business purposes.
1.2 Each instance is licensed separately, and your company may hold multiple instance licences simultaneously, each with its own term and conditions.

2. Restrictions
You may not:

Copy, modify, reverse engineer, or decompile the Software,

Distribute, rent, lease, sublicense, or sell the Software,

Use the Software for unlawful purposes.​

3. Free Trial, Licence Duration, Expiry
3.1 Instance-Based Free Trial: Each instance receives a 14-day free trial, starting when the first user activates the Software on that instance. Trial periods are independent per instance.
3.2 After the trial period for an instance, a valid licence must be purchased for that instance to continue use.
3.3 Purchased licences for each instance are valid for the period specified at the time of purchase. Each instance licence is independent; expiry or renewal of one instance licence does not affect other instances.
3.4 After licence expiry for an instance, the Software will continue to operate on that instance for 5 calendar days (grace period) to allow renewal. After the grace period, the Software will cease functioning on that instance until a new licence is purchased.

4. Licence Management
4.1 Your company must designate a representative responsible for managing licences.
4.2 We may collect IP addresses and URLs accessed via the Software to confirm licence compliance and determine your country of origin for tax purposes.

5. Data Handling and Security
5.1 The Software does not access, transmit, or store your IFS environment data on Techris servers.
5.2 All data copied between IFS environment instances is:

Temporarily stored locally on your device,

Transferred using encrypted and hashed formats, ensuring confidentiality and integrity.
5.3 The Software does not directly interact with IFS APIs. It simply provides a mechanism for moving data between instances, after which standard IFS functions are used to complete copy and paste operations.
5.4 You are responsible for all data moved using the Software, including ensuring compliance with applicable data protection laws.

6. Intellectual Property
All rights, title, and interest in the Software remain with Techris Consulting Ltd. No ownership rights are transferred under this licence.

7. Warranties and Disclaimer
The Software is provided “as is”. We make no warranties other than that the Software will operate substantially as described.

8. Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the total licence fees paid by your company for the affected instance(s). We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.

9. Governing Law
This EULA is governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Acceptance
By clicking “Accept” or installing/using the Software, you confirm that you:

Have read, understood, and agreed to this EULA, and

Are authorised to bind your company to these terms.
