Terms and Conditions of Sale – Clipboard Tool

These Terms and Conditions of Sale (“Terms”) set out the agreement between: Techris Consulting Ltd (“we”, “our”, “us”), a company incorporated in England and Wales, and the customer (“you”, “your”) purchasing licences for the Clipboard browser add-in (the “Product”).

By purchasing a licence or using the Software, you agree to be bound by these Terms.
1. Scope of Agreement
1.1 These Terms apply to all sales of company licences for the Clipboard tool, which are per IFS environment instance (specific URL).
1.2 The Product is intended for business and professional use only and is not sold to consumers or children.

2. Licence Grant
2.1 Upon payment of the applicable licence fee, we grant your company a non-exclusive, non-transferable, limited licence to use the Clipboard tool on each licensed instance for internal business purposes.
2.2 Each instance is licensed separately. Your company may hold multiple licences simultaneously, each with its own term and conditions.
2.3 You may not copy, modify, reverse engineer, or distribute the Product except as expressly permitted in writing by us.

3. Ordering and Payment
3.1 Orders are placed through our website, authorised resellers, or directly with us.
3.2 All prices are shown exclusive of applicable taxes. Taxes (including VAT or equivalent sales taxes) will be applied based on your billing country, as determined by your billing address and IP location.
3.3 Payments are processed securely via Stripe (see Stripe’s Privacy Policy).
3.4 Licences will only be activated once payment has been received in full.

4. Free Trial, Licence Duration, Expiry, and Renewal
4.1 Instance-Based Free Trial: For each instance, the 14-day free trial begins when the first user activates the Software on that instance. Trial periods are independent per instance.
4.2 At the end of the trial period for an instance, a valid licence must be purchased for that instance to continue using the Software.
4.3 Licences for each instance are granted for the period specified at the time of purchase. Expiry or renewal of one instance licence does not affect other instances.
4.4 After licence expiry for an instance, the Software will continue to operate on that instance for 5 calendar days (grace period) to allow renewal. After the grace period, the Software will cease functioning on that instance until a new licence is purchased.
4.5 Renewal terms and pricing may be updated and will be communicated before renewal.

5. Licence Management
5.1 You must provide accurate details of the company representative responsible for managing licences.
5.2 We may collect IP addresses and URLs accessed via the add-in to confirm licence compliance and determine your country of origin for tax purposes

6. Data Handling and Security
6.1 The Clipboard tool does not access or store your IFS environment data on our servers.
6.2 All data copied between IFS environment instances using the Software is:

Stored temporarily on your local machine,
-
Transferred between instances in an encrypted, hashed format to ensure confidentiality and integrity.
6.3 The Software does not interact directly with IFS APIs. It provides a mechanism to move data between instances. Once transferred, you use standard IFS functions to copy and paste the data.
6.4 You remain fully responsible for the data you move between environments.

7. Termination
7.1 We may suspend or terminate any instance licence immediately if you:

fail to pay any applicable fees,

breach these Terms,

attempt to misuse or tamper with the Product.
7.2 You may terminate your licence at any time by giving written notice, but no refunds will be given for early termination.

8. Intellectual Property
8.1 All intellectual property rights in the Clipboard tool remain the property of Techris Consulting Ltd or its licensors.
8.2 You obtain no ownership rights by purchasing a licence.

9. Warranties and Disclaimer
9.1 We warrant that the Product will operate substantially as described.
9.2 Except as set out in these Terms, the Product is provided “as is” without any other warranties, whether express or implied.
9.3 We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability
10.1 To the maximum extent permitted by law, we shall not be liable for:

indirect, incidental, or consequential damages,

loss of profits, business, or data.
10.2 Our total liability for any claims arising under these Terms will not exceed the total licence fees paid by you for the affected instance(s) in the 12 months preceding the claim.

11. Data Protection
11.1 We process personal data in accordance with our Privacy Policy.
11.2 You agree that we may use your data for licence management, payment processing, and legal compliance.

12. Governing Law and Jurisdiction
12.1 These Terms are governed by the laws of England and Wales.
12.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms
We may update these Terms from time to time. Updates will be published on our website with a new “last updated” date. Continued use of the Product after changes take effect constitutes your acceptance of the updated Terms.
